O presente artigo inserido no âmbito da governança corporativa tem como objetivo contribuir no estudo da empresa familiar, notadamente preponderante em nossa economia e seus instrumentos de controle e gestão objetivando a redução ou eliminação dos conflitos societários e na avaliação da importância do conselho fiscal na estrutura das organizações como instrumento de controle e apoio à Assembléia de acionistas. O trabalho consistiu em uma abordagem de caráter eminentemente conceitual e teórica, usando como instrumental de referencia uma pesquisa bibliográfica com autores nacionais e internacionais, bem como trabalhos desenvolvidos por entidades, órgãos de classe, como I.B.G.C e BOVESPA. Observou-se, por outro lado, que a empresa familiar com seus conflitos e problemas sucessórios têm na governança corporativa instrumentos capazes de alinhavar os interesses globais, evitando os atritos de poder e caminhando com a empresa à perenidade.

The present article inserted in the extent of the corporate governance has as objective contributes in the study of the family company, especially preponderant in our economy and their control instruments and administration aiming at the reduction or elimination of the conflicts society and in the evaluation of the importance of the fiscal piece of advice in the structure of the organizations as control instrument and support to the shareholders' Assembly. The work consisted of a character approach eminently conceptual and theoretical, using as instrumental of reference a bibliographical research with national and international authors, as well as works developed by entities, class organs, like I.B.G.C and BOVESPA. It was observed, on the other hand, that the family company with their conflicts and problems they have successor in the corporate governance instruments capable to tack the global interests, avoiding the attritions of power and walking with the company to the perpetuity.
